These Terms of Service ("Terms") govern your use of the 99 Library platform and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the 99 Library platform ("Service"), you agree to comply with and be legally bound by these Terms of Service, whether or not you register as a user. These Terms constitute a legally binding agreement between you and 99 Library.

If you do not agree to these Terms, you may not access or use our Service. If you are accessing the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.

2. Description of Service

99 Library provides a cloud-based library management platform designed for public libraries, including but not limited to:

  • Catalog management and organization
  • Patron account management
  • Circulation and lending services
  • Digital collections integration
  • Analytics and reporting tools
  • Staff workflow management
  • System integration capabilities

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

3. User Accounts and Registration

Account Creation

To access certain features of the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and promptly updating any changes.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Using strong passwords and enabling multi-factor authentication when available

Account Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to create an account. If you are representing an organization, you must have the authority to bind that organization to these Terms.

Organizational Accounts

For organizational accounts, the contracting organization is responsible for:

  • Managing user access and permissions
  • Ensuring compliance with these Terms by all users
  • Maintaining appropriate data governance practices
  • Payment of all applicable fees

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Prohibited Activities

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers connected to the Service
  • Upload, transmit, or distribute malicious code or harmful content
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems to access the Service without authorization
  • Resell, sublicense, or redistribute the Service without permission

Content Standards

Any content you upload or submit through the Service must:

  • Be accurate and not misleading
  • Comply with applicable laws and regulations
  • Respect intellectual property rights
  • Not contain harmful, offensive, or inappropriate material
  • Not violate patron privacy or confidentiality

Enforcement

We reserve the right to investigate and take appropriate action against users who violate these Terms, including warning, suspending, or terminating accounts and reporting illegal activities to law enforcement.

5. Data and Content

Your Data

You retain all rights to data and content you upload, submit, or create through the Service ("Your Data"). You grant us a limited, non-exclusive license to use Your Data solely to provide the Service to you.

Data Processing

We process Your Data in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate technical and organizational measures to protect Your Data against unauthorized access, alteration, disclosure, or destruction.

Data Portability

You may export Your Data from the Service at any time using our standard export tools. Upon termination of your account, we will provide reasonable assistance in transferring Your Data, subject to technical limitations.

Content Responsibility

You are solely responsible for:

  • The accuracy and legality of Your Data
  • Obtaining necessary permissions for any third-party content
  • Complying with applicable privacy laws regarding patron data
  • Maintaining appropriate backups of critical data

Platform Content

All content provided by 99 Library, including software, documentation, and user interfaces, remains our exclusive property and is protected by intellectual property laws.

6. Intellectual Property Rights

Our Rights

The Service and all related software, technology, documentation, and content (excluding Your Data) are owned by 99 Library and protected by copyright, trademark, patent, and other intellectual property laws.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. This license does not include any right to:

  • Sublicense, sell, or distribute the Service
  • Modify or create derivative works
  • Reverse engineer or decompile the software
  • Remove or alter proprietary notices

Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without obligation or compensation to you.

Third-Party Content

The Service may include links to or integration with third-party content or services. We do not control such third-party content and are not responsible for its availability, accuracy, or compliance with these Terms.

7. Payment Terms

Subscription Fees

Use of the Service is subject to payment of applicable subscription fees as specified in your service agreement or our published pricing. Fees are due in advance and are non-refundable except as expressly stated.

Payment Processing

You authorize us to charge your designated payment method for all applicable fees. You are responsible for maintaining current payment information and promptly updating any changes.

Late Payment

If payment is not received when due, we may:

  • Suspend your access to the Service
  • Charge late fees as specified in your agreement
  • Terminate your account after appropriate notice

Taxes

You are responsible for all applicable taxes related to your use of the Service, except for taxes based on our net income.

Price Changes

We may modify our pricing upon 30 days' notice. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

8. Service Availability and Support

Service Level

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Maintenance

We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may be performed without notice when necessary to protect the Service or users.

Support

Support services are provided according to your service plan and may include:

  • Technical support and troubleshooting
  • Documentation and training resources
  • Implementation assistance
  • Regular system updates and improvements

Backup and Recovery

We maintain regular backups of platform data and have disaster recovery procedures in place. However, you are encouraged to maintain your own backups of critical data.

9. Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 99 LIBRARY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY.

Damages Cap

OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE CLAIM.

Exceptions

These limitations do not apply to:

  • Our obligations under applicable data protection laws
  • Damages caused by willful misconduct or gross negligence
  • Violations of intellectual property rights
  • Obligations that cannot be limited by law

10. Indemnification

You agree to indemnify, defend, and hold harmless 99 Library and its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your violation of third-party rights
  • Content you submit or upload to the Service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.

11. Termination

Termination by You

You may terminate your account at any time by following the account closure process in the Service or contacting our support team. Termination does not relieve you of any payment obligations for the current billing period.

Termination by Us

We may terminate or suspend your account immediately without notice if:

  • You violate these Terms
  • You fail to pay applicable fees
  • Your use poses a security risk or legal liability
  • You engage in fraudulent or illegal activities

Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • You remain liable for all fees incurred prior to termination
  • We will provide reasonable assistance in data export for 30 days
  • We may delete Your Data after the retention period

Survival

Sections relating to payment obligations, intellectual property, limitation of liability, indemnification, and general provisions shall survive termination.

12. General Provisions

Governing Law

These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Jurisdiction].

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and 99 Library regarding the Service.

Severability

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or network failures.

Notices to you may be sent via email or posted on the Service. Notices to us should be sent to hello@99library.com.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce such provision in the future.
